No Arrival, No Sale
No Arrival, No Sale. Seller will ship conforming goods to Buyer at
[address] and will tender them on arrival, but Seller assumes no
obligation that the goods, in fact, will arrive. Seller undertakes no
liability in connection with the nonarrival of the goods provided only
that it is not the cause of the nonarrival.
If the goods, without Seller's fault, at the time of their arrival
have so deteriorated that they no longer conform to the description in
this Agreement, or arrive after the time for tender has expired, Buyer
may demand inspection of the goods and, at its option, either treat this
Agreement as avoided or accept the goods with due allowance from the
purchase price for the deterioration or deficiency in quality, but
without further rights against Seller.
