Goods Sale On Approval

(Type A)

1. Introduction. Agreement made [date] between [name], with principal offices at [address] (Seller) and [name], with principal offices at [address] (Buyer).

2. Sale. Seller will sell to Buyer goods of the following description and quantity: [list of goods]. The price is ---------- dollars ($----------). The sale is made on approval with the understanding that title to the goods will remain in Seller until the goods have been accepted by Buyer. Buyer may use the goods during the trial period but only in a manner consistent with the purposes of trial.

3. Delivery of Goods. Seller will deliver the goods to Buyer on [date] at the Buyer's premises located at [address].

4. Right of Return of Goods. Buyer may return the goods for any reason within [number] days after it receives the goods. If Buyer elects to return the goods, it shall notify Seller in writing by registered or certified mail, return receipt requested. The election shall be effective upon the posting of the written notice by Buyer. The goods shall be returned to Seller's premises at [address]. The goods must be returned substantially in their original condition.

5. Acceptance of Goods. The goods shall be deemed accepted by Buyer upon the occurrence of any of the following events:

a. Buyer gives Seller written notice of acceptance;

b. Buyer fails to give Seller written notice of its election to return the goods within the time provided in Paragraph 4; or

c. Buyer uses the goods for purposes other than trial.

6. Risk of Loss. Buyer will exercise reasonable care in the custody and preservation of the goods while they are in its possession. The risk of accidental loss or destruction during the approval period shall be borne by Seller in the absence of fault on Buyer's part. The goods shall be insured in the following manner: [state who takes out insurance policies, who are named as beneficiaries, and who pays premiums].

7. Return of Goods to Original Condition. Seller is obliged to accept only goods substantially in their original condition and undamaged if Buyer elects to return the goods. Seller, at its option, may accept goods that are not substantially in their original condition and, in such event, Seller may incur such reasonable expense as is necessary to return the goods to their original condition. Buyer shall reimburse Seller for those expenses immediately upon demand by Seller.
