Agreement For Sales Representative
(Non-negotiable rules and policy)
This Agreement is by and between [NAME/ADDRESS OF COMPANY], hereinafter referred to as [COMPANY], and [NAME/ADDRESS OF SALES REPRESENTATIVE], hereinafter referred to as [REPRESENTATIVE], on this _________ day of _________ 20 __, do hereby agree to the following:
[REPRESENTATIVE] agrees to:
(a) sell [COMPANY'S] (products/services) in the geographic area of (state area).
(b) accurately represent and state [COMPANY] policies to all potential and present customers.
(c) promptly mail in all leads and orders to [COMPANY].
(d) inform the sales manager of all problems concerning [COMPANY] customers within the above designated sales territory.
(e) inform the sales manager if [REPRESENTATIVE] is representing, or plans to represent any other business firm. In no event shall [REPRESENTATIVE] represent a competitive company or product line either within or outside the designated sales area.
(f) telephone the Company with reasonable frequency to discuss sales activity within the designated and assigned territory.
(g) provide [COMPANY] (---) days' notice should [REPRESENTATIVE] intend to terminate this agreement.
(h) return promptly all materials and samples provided by [COMPANY] to [REPRESENTATIVE], if either party terminates this agreement.
[COMPANY] agrees to:
(a) pay the following commissions to [REPRESENTAIVE]:
(--) % of all prepaid sales, except as stated in (b) below, and
(--) % of all credit sales, except as stated in (b) below.
(b) to negotiate in advance of sale the commission percentage to be paid on all orders that [COMPANY] allows a quantity discount or other trade concession.
(c) commissions on refunds to customers or merchandise returned by the customer in which a commission has already been paid to [REPRESENTATIVE] shall be deducted from future commissions to be paid to [REPRESENTATIVE] by [COMPANY].
(d) except by special arrangement, the following shall not be commissioned: (state any special arrangements).
(e) to provide [REPRESENTATIVE] with reasonable quantities of business cards, brochures, catalogs, and any product samples required for sales purposes.
(f) to set minimum monthly quotas after consultation with [REPRESENTATIVE].
(g) to grant [REPRESENTATIVE] (---) days notice should [COMPANY] wish to terminate this agreement.
(h) to pay commissions to [REPRESENTATIVE] on sales from existing customers for a period of (---) months after this agreement is terminated by either party.
This agreement constitutes the entire agreement between the parties, and may only be altered by an instrument in writing.
